MASTER SERVICES AGREEMENT

Between Acme Industries, Inc. and Initech, Inc.

8.1 Each Party shall maintain in confidence the Confidential Information of the other and shall use it solely for purposes of this Agreement.

8.3 The aggregate liability of either Party under this Agreement shall not exceed ten million dollars ($10,000,000) the total Fees paid by Customer in the twelve (12) months preceding the claim.

8.4 Notwithstanding the foregoing, no liability cap shall apply to breach of confidentiality, indemnification obligations, or willful misconduct.
