Redline Audit

Acme Corp / Jane Smith Consulting Agreement

The counterparty accepted your fee increase to $75,000 but rejected your 60-day notice proposal, modified your warranty extension to 18 months, and added an untracked three-year post-termination confidentiality obligation. The counterparty also added a tracked IP carve-out preserving their pre-existing materials. Your governing-law swap from Delaware to California is still pending.

Features

Word Compare shows differences. Clausul audits the redline.

Untracked drift, surfaced.

If rejecting all the tracked changes in the received draft doesn't return to your version, the counterparty changed something silently. Clausul flags every untracked edit so you don't have to trust the redline.

Your proposals, tracked end-to-end.

If you sent a tracked-change draft, Clausul tells you what happened to each proposal you made: accepted, rejected, modified, or still unresolved. Including the silent rejections that would otherwise vanish from the redline.

Word-native download.

Download the received draft with the counterparty's tracked-change markup preserved verbatim. No rewriting, no proprietary viewers. Open it in Word and respond the way you always have.

Keyboard-first navigation.

Move between changes with j/k or arrow keys. Filter by severity. Pretty obvious stuff, but here we are.

Questions

A difference between the version you sent and the version you received that is not represented as a native Word tracked change. If the counterparty rewrote a sentence without turning Track Changes on, the redline you receive looks clean, but the draft itself has changed. Clausul finds these by rejecting the received draft's tracked changes and comparing the result to your sent version. Anything left over is untracked drift.
If your sent version contained tracked changes, Clausul classifies each one against the received draft as accepted, rejected, modified, or still unresolved. The rejected case is the important one: a counterparty can silently undo a proposal so that no redline difference appears at all. Without the audit, those rejections disappear.
