3. TERM AND TERMINATION

5. CONFIDENTIALITY
Each party shall maintain the confidentiality of proprietary information disclosed by the other party for a period of three (3) years following termination of this Agreement.

CONSULTING AGREEMENT
This Consulting Agreement is entered into as of January 15, 2026, by and between Acme Corp ("Company") and Jane Smith ("Consultant").
2. COMPENSATION
Company shall pay Consultant a fee of $75,000 payable in advance on the Effective Date.
3. TERM AND TERMINATION
Either party may terminate this Agreement upon 60 days 30 days prior written notice to the other party.
4. WARRANTIES
Consultant warrants that the services will conform to the documentation for a
period of 24 months 18 months from delivery.
5. CONFIDENTIALITY
Each party shall maintain the confidentiality of proprietary information disclosed by the other party for a period of three (3) years following termination of this Agreement.
6. INTELLECTUAL PROPERTY
All work product created by Consultant under this Agreement shall be the sole property of Company, except that Consultant retains ownership of any pre-existing intellectual property used in the work product.
7. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Delaware California, without regard to conflict of laws principles.
