Terms of Service

1. Agreement

By accessing or using clausul.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

2. Description of service

Clausul provides a document comparison service for legal professionals. The Service accepts DOCX files, analyses differences between document versions, and produces comparison reports including redlines, change summaries, and AI-assisted review notes.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly at hello@clausul.com if you suspect unauthorised access.

4. Your documents

You retain all rights to documents you upload. By uploading documents, you grant clausul a limited, non-exclusive licence to process them solely for the purpose of providing the Service — including parsing, comparison, AI-assisted analysis, and generating outputs.

We do not access, review, or use your documents for any purpose other than delivering the Service, unless required by law or with your explicit consent.

5. AI processing

The Service uses third-party AI providers (OpenAI and Anthropic) to generate semantic embeddings and change classifications. Only parsed text is sent to these providers — never raw document files. Both providers operate under API terms that prohibit using customer inputs for model training.

AI-generated outputs (change summaries, review notes) are provided as decision-support aids. They do not constitute legal advice. You are responsible for reviewing and approving all outputs before use.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Upload documents containing malware or malicious content.
  • Attempt to gain unauthorised access to the Service or its infrastructure.
  • Interfere with or disrupt the Service or its security features.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell or redistribute the Service without our written consent.

7. Payment and billing

Paid plans are billed in advance on a monthly or annual basis. Prices are as published on the Service at the time of subscription. We may change prices with 30 days' notice. Refunds are handled on a case-by-case basis — contact us if you have a concern.

8. Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection law, including the GDPR. For organisations requiring a data processing agreement (DPA), contact hello@clausul.com.

9. Availability and support

We aim to keep the Service available and reliable, but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will provide reasonable notice for planned downtime where possible.

10. Limitation of liability

To the maximum extent permitted by law, clausul's total liability to you for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

The Service is a document comparison tool, not a legal service. Outputs do not constitute legal advice. You are responsible for all decisions made based on comparison results.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms. On termination, your documents and data will be permanently deleted in accordance with our Privacy Policy.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Netherlands. Any disputes will be resolved in the courts of Amsterdam, unless mandatory consumer protection law requires a different jurisdiction.
