Two ways to create a redline

Track Changes (real-time recording). You open a document, enable Track Changes in Word, and start editing. Every insertion, deletion, and formatting change is recorded as you make it. The result is a document with embedded markup that the next reviewer can accept, reject, or comment on. This method works well when you control the editing process. It breaks down when someone edits without tracking enabled, when multiple people edit with inconsistent settings, or when the document goes through a template conversion that resets the tracking history.
Document comparison (after-the-fact analysis). You take two versions of a document and feed them into a comparison tool. The tool analyzes both files and produces a markup showing every difference. This method does not depend on the editing history. It compares the actual content of the two files, regardless of how the changes were introduced. This makes it more reliable as a verification step, but the quality of the output depends heavily on the comparison engine.

The physical redline was also inherently a single-pass process. You read the other side's draft, you marked your changes, and you sent it back. There was no way to compare two typed versions automatically. If the other side said they only changed three clauses, you either trusted them or you read the entire document line by line to verify.
Early word processing: Track Changes arrives
Word processors changed the mechanics of document creation but initially did not change the mechanics of comparison. Early versions of Word (and WordPerfect before it) produced documents that could be edited on screen, but comparing versions still required printing both and reading them side by side.
Track Changes appeared in Microsoft Word in the early 1990s. For the first time, the software could record edits as they were made: insertions shown in colored text, deletions shown with strikethrough, formatting changes indicated in the margins. Step 3: Triage the changes

- Stylistic changes that are probably fine. "Shall" to "will" in a jurisdiction where they are equivalent. Synonym swaps that do not change meaning. Minor rewording that preserves the original sense. These warrant a quick confirmation but rarely require negotiation.
- Formatting and structural changes. Font changes, spacing adjustments, renumbered sections, reapplied styles. These are usually irrelevant to the negotiation but occasionally hide something important.
- Moved text. Paragraphs or clauses that appear in a different location. The content may be unchanged, but the repositioning can alter scope or applicability. Moves need to be evaluated in context, not dismissed automatically.
The speed and accuracy of this triage step depend almost entirely on the quality of your redline. A clean, well-organized redline that separates formatting from substance lets you triage quickly. A noisy one that mixes everything together forces you to read every change individually, which is slow and error-prone.
Step 4: Respond to the substantive changes
Once you have identified the changes that matter, you draft your response. This might mean accepting some changes, rejecting others, proposing counter-language, or asking for clarification. The redline serves as your roadmap: it tells you where to focus your attention and ensures you do not overlook anything.

Redline vs. blackline

Common redlining challenges

Track Changes gaps
Track Changes only records edits made while tracking is enabled. If someone turns off tracking (accidentally or intentionally), makes edits, and turns it back on, those edits are invisible in the Track Changes markup. There is no indication in the document that tracking was interrupted. The reviewer sees what looks like a complete set of tracked changes but is actually a partial record.
This is not primarily a bad-faith concern. The most common causes are accidental clicks, template conversions that reset tracking settings, and multi-person editing sessions where different people have different settings. Formatting noise

True move detection requires the comparison engine to recognize that deleted text in one location is substantially similar to inserted text in another location. Disciplined file naming and version control help. Some firms use document management systems that maintain version histories. But the fundamental risk persists: if you cannot identify the correct baseline with certainty, you cannot produce a reliable redline.
Table and structured content comparison
Legal documents frequently contain tables: pricing schedules, SLA matrices, milestone deliverables, compliance checklists, disclosure schedules. These tables often carry the most financial significance in the entire document. They are also where comparison engines tend to perform worst.
Add a row to a pricing table and some tools misalign every subsequent row, comparing row 3 of the old version against row 4 of the new one. Delete a column and the output can look like half the table was rewritten. Merge cells and the result is often unreadable.
